1. Acceptance of Terms
By accessing or using the Novum Sound Platform (“Platform”), including management services, the beat marketplace (“The Black Market”), and distribution tools, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Platform. These Terms form a service agreement, not a contract for employment, representation, or legal agency.
2. Eligibility
Novum Sound is a youth‑operated management, marketplace, and distribution platform.
- Users must be 13+
- Users under 18 must have parent/guardian permission
- Novum does not enter binding legal contracts
- All services are non‑exclusive and revocable
3. Nature of the Platform
Novum Sound provides: Strategic management guidance, A curated beat marketplace, Technical distribution tools.
Novum Sound is not: A record label, A legal representative, A publisher, A talent agency, A financial advisor. All services are platform tools, not legal obligations.
4. User Accounts
Users must provide accurate information. Novum may suspend or remove accounts for: Fraud, Abuse, Copyright violations, Harassment, Violations of these Terms.
5. Management Services
Management services include: Strategic guidance, Career planning, Optional 1‑on‑1 support. Management services are advisory only. Novum does not guarantee placements, revenue, or outcomes.
6. Beat Marketplace (The Black Market)
6.1 Producer Rights & Permissions: By uploading beats, producers grant Novum: A non‑exclusive, revocable license to host, display, promote, and sell beats; Permission to process payments and deliver files; Permission to allow Novum‑managed artists to preview beats; Optional permission to allow Novum‑managed artists to use the beat for recording. Producers retain 100% ownership of their beats.
6.2 Sales & Revenue: Base — Keep 85%, Producer+ — Keep 90%, Pro Air — Keep 95%, Pro — Keep 100%. Novum collects the remaining percentage as a platform fee.
6.3 Copyright Strike Assistance: Novum may submit takedown requests on your behalf. This is an administrative platform action, not legal representation. Producers remain the rights‑holders and claimants. Optional and revocable.
6.4 Marketplace Restrictions: Producers may not upload: Stolen beats, Unlicensed samples, AI‑generated beats without disclosure, Content violating copyright law.
7. Artist Distribution
7.1 Ownership: Artists retain 100% ownership of: Masters, Publishing, Copyright. Novum claims no ownership.
7.2 Royalties: Artists keep up to 100% of royalties depending on their plan. Royalties are released once the artist meets the 2,000 streams/year threshold.
7.3 Permissions: By uploading music, artists grant Novum a non-exclusive license to deliver music to DSPs, collect royalties, and display music. This ends when music is removed.
8. Subscription Plans
Billed monthly. Cancel anytime. No refunds for partial periods. Pro tier includes lifetime price lock for active subscribers.
9. Payments
Processed through third‑party providers. Novum does not store payment info. Users responsible for taxes, chargebacks, bank fees.
10. Intellectual Property
Novum owns Branding, Logos, Website, Tech. Users own Beats, Music, Likeness. Novum receives limited permissions to operate.
11. Limitation of Liability
Novum is not responsible for financial losses, lost revenue, DSP delays, or third-party failures. Platform provided "as-is". Use at own risk.
12. Termination
Novum may terminate accounts for Terms violations. Users may terminate at any time.
13. Changes to Terms
Novum may update Terms. Continued use means acceptance.
